"We, Us, Our" refers to LSN Ltd trading as Juniors, the
supplier, whose registered office is: 72 Fielding Road, Chiswick, London W4 1DB

"You, School, Subscriber" refers to the Purchaser of the Juniors
subscription service from LSN Ltd. "Registered Users"
refers to all Pupils and School employees at your school registered as users of
the service.

"Service" refers to all "Juniors" educational material and
resources supplied to the Subscriber via the Website or transmitted
(electronically or otherwise) directly to the Subscriber by LSN Ltd,
in accordance with these Terms and Conditions.

"Website" or "Site" refers to
www.juniors.net and any other website published past present or future
by LSN Ltd from which the Service is supplied.

This document defines the agreement between LSN Ltd
(the supplier) and the School (the contractual buyer) that governs supply of
the Service.

Juniors is an online educational service of LSN Ltd
which is provided through the Website located at
www.juniors.net
or any website past, present or future relating to this service. It includes
content, search facilities, downloadable material, links and any other Internet
based services provided by us from time to time at this Site.

We shall provide the Service to You under the following conditions:

This agreement is entered into on the basis that You are an authorized
representative of the school with the authority to bind the School.

Your acceptance of the Terms and Conditions herein is binding on the school and
all its Registered Users.

By clicking the "Accept" button at the bottom of this page, You warrant
that You have read, understood and agreed to all the Terms and Conditions
stated herein, which includes all the Terms & Conditions stated within our
Privacy policy which forms the second part of this document. These
replace and supersede any previous offer or Terms and Conditions previously
posted on our Site or entered into verbally or otherwise between You and Us.

Juniors Administrator
-
During the Service registration process, a Juniors Administrator must be
nominated by the school. This person will be responsible for informing his/her
colleagues of the availability and range of the Service and ensuring that they
have access to the Service when necessary. The Juniors Administrator will be
our primary point of contact and will also be responsible for ensuring that
anyone at the school using the Service, be they teachers or pupils, is aware of
these Terms and Conditions. You may wish to print these for future reference.

Free trial

If You have opted for the free trial You may access limited parts of the
service as defined in any free trial offer posted on the site. In accepting a
free trial You accept all the terms of use herein other than clause 7. Costs
and invoicing. You may only benefit from one free trial. If it is discovered
that You have requested more than one free trial, clause 6 will apply and You
will become liable for payment for the subscription fee as defined in clause 7.
Close to the end of your free trial period We will contact You with regard to
You taking out a full subscription to the Service.

Third party subscriptions

If another party (eg your LEA) is paying for the subscription, You will be
asked to accept these terms of use at the time you first log onto the Site. In
accepting them You agree to be bound by all terms of use herein other than
clause 7. Costs and invoicing.

Close to the end of the Subscription period We will contact you and/or the
third party with regard to continuing the Service by renewing the subscription.

Costs and invoicing
7.1 Subscription
-
The subscription amount is based on the number of Key Stage 2 pupils on your
school roll. The definition of "Key Stage 2 pupils" for the purposes of the
subscription calculation will be the published number of year 3 to year 6
(inclusive) pupils registered at Key Stage 2 for that academic year covered by
the subscription.

We do not allow a subscription for less than the number of Key Stage 2 pupils
at your School on the date of submission of your order. We permit a variation
of up to 5 per cent of the number of pupils originally advised but any
additional numbers of pupils beyond this limit must be advised to us.
7.1 Processing your order

Payment for the Service can be taken in the following ways:

Through invoice
-
By credit/debit card online via our secure payment gateway
-
By credit/debit card over the telephone to our telesales operators.

In the case of payment through invoice, the School will be invoiced at the same
time as the subscription set-up confirmation email is sent by our system. Our
invoice payment term is 30 days.

In the case of an online payment or payment via our telesales operators We
shall send written confirmation of your subscription purchase to your stated
email address which shall specify in addition to other statutory requirements.

Our scope of service

The term of the subscription

The value of your order (in the event that this has been paid for by a third
party this will be of nil value).

In the event that this email from Us to You bounces back to Us for whatever
reason, we shall instead post a letter of confirmation containing the same
details to the Schools stated geographical address.
7.3 General

We may charge interest on overdue invoices from the due date until the date of
payment on a daily basis at the rate equivalent to an annual rate of 4% above
the Natwest Bank PLC base lending rate then in force.

7.4 Renewal

We will endeavour to inform You of the subscription fee payable for subsequent
years at least four weeks in advance of the anniversary of your current
subscription. Your service will only remain continuous if your renewal
subscription fee is received prior to the anniversary date of your current
subscription.

Scope of service

The resources provided online by Us under the Juniors Service are as defined on
the Site prior to registration and in the written confirmation of your order.
We may vary content from time to time at Our sole discretion.

Your school will receive any updates within the scope of content originally
ordered, as defined in your invoice for the term of your subscription.

We may, at Our discretion, allow You and your other registered users further
free temporary, restricted or permanent access to additional Juniors subjects
and/or other LSN Ltd products.
-
All content made available to You in excess of the contracted requirement is
provided on a complimentary basis and may be withdrawn at any time without
prior notice.

This agreement does not in any way constitute a sale or transfer, in any
manner, of the resources made available as part of the Service to your school
or of any intellectual property rights in those resources.

Access, registration, username and password
-
Access to Our Website is available at Our sole discretion, to those subscribing
schools that comply with these Terms and Conditions.

Pupils of the subscribing school may only access the activities of the Website
during term time, between 8am and 5pm, Monday to Friday. Only the Juniors
Administrator and teachers at the subscribing school are permitted access
outside these times. Teachers may not share their own logins with pupils and/or
other persons. Logins can only be passed on to pupils when particular sections
of the Service require pupils to login directly. Unreasonable access through
Juniors Administrator and/or teachers' logins out of school hours may result in
the withdrawal of the Service by Us. Administration and report sections will be
available at all times.

Term time may be limited by the assessment of the schools academic year. We
accept no liability for Our definition of term time which may deny access to
the school user during part or all of term time. It is the express
responsibility of the school to communicate its term times immediately to Us.
We will determine the schools request at Our sole discretion without liability
and in the event that the service to the school has been denied in error We
will endeavour to rectify the situation as soon as possible.

You, as the Juniors Administrator, and an authorized representative of your
school, will be asked to provide specific information to register as a user of
the Site. You agree to provide true, accurate, correct and complete information
about yourself and your school and to notify Us immediately of any changes to
your personal/school data by sending an email to
teachers@juniors.net. Please note that any information You may give us
is covered by the Data Protection Act 1998 and is solely for our internal
processes. Please review our Privacy policy
for further information. We do not disclose children’s information to any third
party whatsoever.

Following the registration process, the school will be allocated a username and
password that will enable You to set up the classes in your school. Do not give
this username or password out to others unless particular sections of the
Service require that pupils login directly.

You may use this set-up option to add up to 40 additional classes and
username/password combinations for your colleagues. The same Terms and
Conditions as set out herein will apply to them also. You may be asked to
select alternative ones if the names and passwords You have chosen are already
registered. You will be notified during the set-up process if this is the case.
We reserve the right to reject, at any time, usernames or passwords that are
likely to cause offence.

You must ensure that the usernames and passwords are kept safe – it is in your
school’s interest to keep these secure. You agree to notify Us immediately by
email to teachers@juniors.net if You
believe there has been a breach of security of your username or password, such
as theft or unauthorised use. If we reasonably believe that a username and
password are being used in any way that is not permitted by us, we reserve the
right to cancel access rights immediately without notice, and to block access
to all users from that address.

Copyright and restricted permission to copy

The contents of the Service and all material included on the Site and otherwise
in connection with it are exclusively owned by Us and protected by intellectual
property rights, including but not limited, to copyright, trade marks and
database rights. All such rights are hereby reserved to Us.

You may not remove copyright or trademark notices from printed copies made
under this agreement or from any material sent electronically to a third party.

None of this material may be used for any commercial, illegal, improper or
public use. Other than as referred to above, no part of the Site or any
material appearing on the Site may be reproduced or stored in or transmitted to
any other website.

Unless expressly indicated, material appearing on the Site may not be
disseminated in any form, either electronically or non-electronically, nor
included in any retrieval system or service without our prior written
permission. Any other use of the material and content of the Site is strictly
prohibited.

You agree not to (and agree not to assist or facilitate any third party to)
copy, reproduce, transmit, publish, display, distribute, commercially exploit
or create derivative works of such material and content.

Materials from the Website and the Service that have specific download links
may be downloaded solely for your school's non-commercial, individual teaching
and learning purposes. Each Activity Worksheet/Teachers' Notes may be
printed/photocopied up to 30 times for use within each class. You may not
modify the items downloaded nor extract any part of them for separate use in
other materials or applications. We permit worksheets to be downloaded to
supplement the use of specific Juniors activities. We do not permit bulk
downloading of worksheets and notes. You should be aware that, if our system
determines that You or your colleagues have downloaded an inordinately large
number of worksheets that do not reasonably appear to be commensurate with your
usage patterns, we reserve the right to terminate the Service.

Once the subscription period has elapsed, if You have not renewed your
subscription for a further period You agree to delete and destroy any materials
in your possession, including any worksheets and/or notes that You may have
downloaded. You also undertake to clear any individual and server cache of any
LSN Ltd or Juniors material.

Limitation of liability and indemnity

We will take care to ensure that the entire Site contains material that is
suitable for Children at all times. The World Wide Web contains certain content
which may be regarded as harmful or objectionable, or otherwise unsuitable for
children. We will take care to ensure that there is no accidental link to such
content, but it is your responsibility to be vigilant about your pupils’ use of
the Internet at all times, for example by using appropriate software
applications to restrict access to harmful content. You should exercise due
diligence and notify us immediately should You feel any material is
inappropriate.

We are also careful to make sure that the information appearing on the Service
is accurate and up-to-date. However, errors and omissions can occur and You
should not take the accuracy of the information for granted. Accordingly We do
not accept any responsibility or liability for any inaccuracy in the material
provided.

We cannot control how You or your Registered Users use the Site or the content
of the Service. As a result, we cannot give any guarantee that the material
will be suitable for your requirements. In addition, due to the nature of the
World Wide Web and third party technologies outside our control (such as your
Internet Service Provider), we are unable to guarantee that the Service will
always be available. We have taken great care to ensure that the Site is secure
and all your information is secure. However, we do not guarantee that such
security is infallible and You should be aware that a computer system may be
subject to malicious and unauthorised intrusion. In particular We make no
warranty that the Site is free from infection by viruses or anything else that
has disruptive, contaminating or destructive properties. No liability is
accepted for any loss or damage sustained by You, or any third party to whom
You or your Registered Users may send any material, arising from any such
infection.

We do not accept liability for any direct, indirect, incidental, special,
consequential or exemplary damages, including, but not limited to, damages for
loss of use or profits, anticipated savings, goodwill, data or other intangible
losses (even if we have been advised of the possibility of such damages).

We will not be liable under these terms for any failure of the Service due to
causes beyond our reasonable control.

Nothing in these terms affects any liability for death or personal injury
caused by our negligence or fraudulent misrepresentation.

Discussion forums

If the Site contains message or communication facilities (forums), these are
solely provided for the benefit of Registered Users of the Service (teachers
and children). Forums are intended to enable users of the Service to
talk to each other, share their experiences of Service satisfaction, whether
negative or positive, and ask questions to one another about any aspect of the
Service. Any forums contained serve as a question-and-answer channel between
all registered users of the Service and are, therefore, for your additional
convenience and benefit.

When You use our forum, You agree not to:

Post any material, or engage in any activity, that is unlawful, threatening,
libellous, defamatory, pornographic, profane, abusive, vulgar, obscene, hateful
or racially objectionable or that constitutes or encourages criminal conduct

Make available any material that infringes any trademarks or copyrights or
contains software viruses or other computer software or hardware.

We reserve the right to remove offensive material and to suspend or terminate
access to forums and/or the supply of the Service to anyone who it knows or has
reason to believe has breached this provision.

Agreed conduct

When using the Site, we expect You to use the same social and legal standards
of behaviour as You would in a public or professional environment. Should You
choose not to adhere to these commonly accepted standards of law and decency,
we reserve the right to remove your access immediately.

purpose. You also undertake not to attempt to access restricted portions of the
Site by any means whatsoever, and not to attempt to upload or otherwise
transmit any material that contains software code, viruses, macros or any other
files that may damage either the Service or other users.

will only be used by Us, in accordance with our Privacy

This subscription will be valid for the term detailed in Our written

Termination by Us

We reserve the right to terminate the Service provided to You at any time,
should the conditions of this agreement be breached. We will endeavour to
inform You in writing 14 days before terminating the Service and allow You an
opportunity within that time to rectify any such breach. However due to the
possible risk to third parties we reserve the right to terminate the Service
without notice in the event of a breach by You or your Registered Users of the
relevant provision of clauses 9, 10, 12 or 14.

In the event that termination is effected by Us during a subscription period,
no refund will be due to You.

Changes

We reserve the right to add to or otherwise change the provisions of the terms
of use at Our discretion. All additions and changes to our policy will be
posted on the www.juniors.net
Website. If changes are effected then a pop-up will occur on the Site informing
the user of a revised Terms and Conditions document. If You, as an authorized
representative of the School, do not accept such changes then You must
terminate your agreement in the manner described below in clause 19. If
notification is not received from You within 14 days of the new document being
posted, then You will be deemed to have accepted the new terms.

We are continually seeking to improve Our Service and reserve the right to make
changes to any part of the Service, provided that it does not materially reduce
the content or overall functionality of the Service.

Cancellation by You

You may cancel your subscription to the Service at any time by writing to us at
the postal address detailed below or by sending us an email to
subscriptions@juniors.net. However if You cancel after a new 12 month
subscription term has commenced You will not be entitled to a refund or
re-credit of the subscription charges for that period.

Notices may be validly served on Us at the registered office address given
above. We may serve a notice on You at the school's address as confirmed by the
Juniors Administrator.

These terms constitute the entire agreement between You and Us.

Neither You nor We may transfer any of Our rights and obligations under these
terms to anyone else, unless we agree in writing otherwise.

Any failure by You or Us to exercise or enforce any provision of these terms
shall not constitute a waiver of such provision.

No term of this contract shall be enforceable under the Contracts (Rights of
Third Parties) Act 1999 by a third party.

These terms will be construed in accordance with, and will be governed by the
laws of England and Wales and each party agrees to submit to the exclusive
jurisdiction of the English courts.

future relating to this service. It includes all content, search facilities,
downloadable material, links and any other Internet based services provided by

We are fully committed to protecting the privacy of all the users of our
Service. As a UK-based organisation, we and our authorized data processors

registration process before you and your school, or you and your children, can
use the free trial or the Service. To help us provide as complete a service as

subsidiary or group companies, all of whom adhere to this privacy policy,
inside or outside the European Economic Area. By submitting your information
you consent to such use and transfer. However we are not responsible for any

We also collect statistical data, listing which of our pages are most
frequently visited and by which types of users. This information allows us to
continually improve the service we provide to all our users.
If you enter a competition or other promotional feature, we may ask you for
personal details and email address to allow notification of results.

in connection with the Juniors Service whether through telephone, email, or
otherwise and you confirm that you do not and will not consider any of the
above to be a breach of your rights under the Telecommunications (Data
Protection and Privacy) Regulations 1999 or the Privacy and Electronic
Communications (European Directive) Regulations 2003.
It is your right as an individual to see the information about yourself and
your children that is held on computer or otherwise by ourselves. You may
request access to this information through written means and we will provide a
full response in accordance with the Data Protection Act 1998.

Any content posted or otherwise submitted to our Site (including but not
limited to discussion forums) by you or your children is your sole
responsibility. However by submitting content to the Site you grant LSN Ltd
on your behalf and on behalf of your children an
unrestricted, royalty free, perpetual, worldwide right and license to use,
reproduce, modify, publish, translate, and distribute the content and/or to
incorporate it in other works. You agree to irrevocably and unconditionally
waive on your behalf and on behalf of your children in perpetuity in respect of
such content the benefit of any provision of law known as moral rights of
